1. Scope and parties
These terms and conditions («Terms») apply to all services provided by Mislikervyraxi B.V. («Mislikervyraxi», «we») to clients («you»): recording, mixing, mastering, audiobook sessions and related studio work in Amsterdam. They apply together with any specific terms in a quote; if they conflict, the quote prevails.
The Terms plus the accepted quote form the contract. Only an authorised Mislikervyraxi staff member may confirm deviations in writing. Company details are in our legal notice; practical information is on Services and FAQ.
2. Definitions
| Term | Meaning |
|---|---|
| Quote | Written proposal with description, date, duration, price incl. and excl. VAT, deposit and any specifics. |
| Session | Reserved studio time block or agreed remote mix/master work time. |
| Consumer | Natural person acting outside trade, business or profession. |
| Business client | Legal entity or natural person acting in trade or profession. |
| Deposit | 35% of the agreed total incl. VAT, due when the booking is confirmed. |
| Business day | Monday to Friday, excluding public holidays in the Netherlands. |
3. Quotes, booking and formation
A request via contact, phone or email leads to a quote. We aim to respond to complete enquiries within 3 business days. A quote stays valid for thirty days unless another period is stated.
The contract is formed when you accept the quote in writing (email is enough) and we receive the deposit. Until then, a time slot may be offered to someone else. We may decline a request because of unrealistic planning, safety risks or missing rights in material.
4. Prices and VAT
Prices on the site and in quotes are in euros. Consumer prices include 21% VAT unless stated otherwise; for business clients we also show the amount excl. VAT. Indicative rates such as €175 per mix track or €75 for mastering may be adjusted in the quote to match scope.
Extra hours beyond the booked block are charged only with your oral or written approval, at the hourly rate in the quote. Travel or parking for your team is yours unless agreed upfront.
5. Deposit and payment
When a session is confirmed, you pay 35% of the total incl. VAT as a deposit. The balance is due before the session starts (consumers) or within 21 days of invoice date for business clients, unless the quote says otherwise.
Payment by bank transfer; card payment in the studio may be available when offered. If payment is late, we may suspend work and charge interest and collection costs where permitted. Until full payment we may withhold final files; working files are kept as in article 9.
6. Cancellation and rescheduling by you
| Timing | Effect |
|---|---|
| More than 5 calendar days before the session | Free cancellation or move; deposit refunded within 14 days if you cancel. |
| 5 days or less before the session | Deposit applied once to a new date within 3 months; if none is booked, the deposit is forfeited. |
| No-show or same-day cancellation | Full session fee due unless you prove force majeure on your side. |
Send requests by email to [email protected] with your name and date. These rules do not limit statutory withdrawal where it applies (article 7).
7. Withdrawal (consumers, distance contracts)
If you are a consumer and conclude a distance contract (email, phone, form), you may withdraw within 14 days without giving reasons, unless an exception applies. Send withdrawal to [email protected] or by post to Overtoom 141, 1054 HG Amsterdam.
Withdrawal expires if we fully performed within the period and you explicitly agreed to start before it ended. For customised services (for example a unique session on your material), withdrawal may be excluded once performance began with your consent.
If work started before withdrawal, you pay a proportionate amount for what was delivered. Refunds are made within 14 days of receiving your withdrawal, via the same payment method unless agreed otherwise.
8. Performance, studio rules and safety
Sessions take place at Overtoom 141 during Mon–Fri 09:30–18:30, Sat 10:00–16:00 or at agreed times. Up to 6 musicians may play together in the live room; up to 10 people including guests may be present. Minimum age for participants is 16; younger artists only with written guardian consent and an adult present.
Use equipment and rooms carefully and follow engineer instructions. No smoking or vaping indoors. We may stop a session for unsafe behaviour or serious disruption; the agreed fee remains due. Damage to studio gear through intent or negligence is charged to you.
Practical guides: prepare your voice, plan a band session.
9. Files, delivery and archive
Unless the quote says otherwise, we deliver common formats (for example 24-bit WAV) via download link or media you provide. Mix/master deadlines start once we receive complete, usable source files; see delivering mix stems.
We keep session and project files for 18 months after the last activity, then delete them unless you order extended storage in writing. You are responsible for backups of delivered files. Loss after delivery is your risk except for proven fault on our side.
10. Intellectual property
Your works. Music, lyrics and other material you supply remain yours. You warrant that you may record, mix or master what you provide and indemnify us against third-party claims.
Recordings. When you commission and pay for the work, exploitation rights in the recordings pass to you after full payment, to the extent we would hold any. We do not claim co-authorship of your songs.
Studio assets. Presets, templates and internal chains remain ours. You receive agreed audio deliverables, not source projects unless included in the quote.
References. We do not use your name, logo or audio in marketing without written consent. We do not train AI on your recordings or create voice clones without separate written permission.
11. Revisions
For mixing and mastering, 2 revision rounds are included as described on the service pages. One round is a single bundled feedback list processed in one pass. Extra rounds or a new artistic direction after approval are quoted separately (for mix, for example €55 per extra round per track).
Request revisions within 30 days of delivery; after that we may charge at hourly rates.
12. Complaints and conformity
If a delivered file is technically defective (clicks, drop-outs, wrong format) or clearly not as quoted, report it within 14 days of delivery with examples via [email protected]. We will fix or redeliver at no charge.
Subjective taste on balance or tone falls under revisions (article 11), not warranty. Consumers retain statutory conformity rights for digital content where applicable.
13. Liability
We perform assignments with professional studio care. Artistic outcomes also depend on your input; see our disclaimer. Our liability is limited to direct damage, up to the invoice amount for the assignment, except for intent, wilful recklessness or personal injury.
For business clients, indirect damage, lost profit and goodwill are excluded where permitted. Mandatory consumer rights remain unaffected.
14. Force majeure
In force majeure (power failure, key staff illness, government measures) we may postpone without paying damages. We offer a new date; if none is possible within 60 days, either party may terminate and receive a refund of unused prepaid amounts.
15. Personal data
We process personal data under our privacy policy. Business clients supplying third-party data (musicians, narrators) use our data processing agreement where required.
16. Governing law and disputes
These Terms are governed by Dutch law. Disputes with consumers may be brought before the competent court in the Amsterdam district unless mandatory law points elsewhere.
We are not affiliated with a sector dispute board. Consumers may contact the Netherlands Authority for Consumers and Markets for information. EU consumers may use the Commission ODR platform: ec.europa.eu/consumers/odr.
17. Final provisions
If a clause is void, the rest remains in force. Changes apply to new orders after publication on mislikervyraxi.click (version 14 October 2026). If translations differ, the Dutch text prevails.
